On all of it

That is what opening a restaurant used to mean. Most of what you signed for was never the food. It was the hood, the walk in, the dish pit, the grease trap, the insurance, the guy who cleans at midnight and the guy who receives at six. That is what is in the box.

What is in the box

Yours on this side of the wall. Ours behind it.

One number a month. It comes right out of your register, the same day you earn it. No cheque, no reconciliation, no surprise.

No personal guarantee. It is in the agreement, not the brochure.

An exit. When you want to sell, you sell the restaurant to the next proprietor and we verify the books. When you want to grow, your second location is a Box in the next Boxhaus, on your own numbers, with no capital and no signature.

On your own, before you buy an onion: rent and pass throughs, a dish crew, a cleaning contract, the hood guy, the grease guy, the pest guy, the power, the insurance, the software, the delivery apps taking a quarter of every order, and the loan on the kitchen with your name on it. About 24 percent of everything you sell.

Here it is one number. The building, the kitchen, the crew that does the dishes, the crew that cleans at midnight, the power, the insurance, the compliance calendar, the Engine, first party delivery, and the kitchen financed inside the plan. About 17 percent. Because the building buys for fourteen restaurants and hands you three quarters of the saving, it nets to about 16.

Eight points of sales. On a Small Box, over two hundred thousand dollars a year that stays in your business.

And the number you cannot put in a table: none of it is guaranteed by you.

Every industry got its platform. Restaurants got a lease.

How the money moves

Your register pays the plan. Nobody writes a cheque.

The registerEvery card sale, every day, through Boxhaus payments.
Same dayYour sales settle to your account the day you earn them.
One numberThe plan settles from that flow. No invoice, no arrears.
The statementOn the first: the base, the allowances used, the meter, what was already settled.

Financing without a bank. The kitchen is inside the plan. Improvement financing is pre approved on your ledger at Box S. Working capital at Box RS, and at Box S after twelve months. All of it secured by the Box and the equipment, never by you.

What you are signing

One agreement. Two schedules. You read both.

The agreement

The Box Subscription Agreement. One signature, one plan, one monthly statement. Behind it are two schedules, and you read both before you sign. We see your register every day. It is only fair that you see all of our paper. That is how the whole building works: nothing behind the wall that you cannot walk into.

Schedule A, Occupancy

A lease of your Box from BOX Real Estate Co for the length of your commitment. It is a lease because the State of Florida requires the entity holding your liquor licence to hold a lease or a deed, and because the building's lender requires it. It carries your base occupancy, your percentage of sales, and the four protections below.

Schedule B, Services

Everything else in the plan, from BOX Operating Co. The kitchen, the crew, the cleaning, the power and cold, the insurance, the Engine, payments. This is where your tier lives and where you upgrade.

Included means

An included allowance, stated in the plan, metered above it. The insurance and energy components are repriced once a year against their actual cost, and you see the reprice thirty days before it applies. Nothing else in the plan moves during your commitment.

The meter
  • Sales. A percentage of gross. The main meter. It breathes with your season.
  • Energy above your allowance, at the building's cost plus a stated margin.
  • Dispatch per takeout and delivery order. No third party commission on Boxhaus orders.
  • Catering on the food line only of event hall bookings you cater. Never beverage.
  • Payments per card transaction, settled the same day.
  • Kitchen financing inside the plan, over your commitment.
The commitment

On demand for ninety days in the Proof Box. Three years. Five years, at the lowest base. The exit from a commitment is not cancellation. It is transfer.

The four clauses that make it survivable

Your recipes. Your name. Never your signature.

Clause 1

No personal guarantee

Your entity signs. You do not. Nothing in this agreement, in either schedule or in any financing inside the plan is guaranteed by you personally or secured by anything you own outside the Box.

Clause 2

Transferability

You may sell your restaurant, meaning your concept, your equipment interest, your crew and the balance of your plan, to a new proprietor. Boxhaus underwrites the buyer on your ledger within thirty days and re prices the plan at transfer. Consent is not withheld for a buyer who meets the published standard. The first restaurant agreement in the country that comes with an exit.

Clause 3

The graduation royalty

Boxhaus takes a small permanent royalty on the sales of your concept at locations outside a Boxhaus, and a reduced one inside another Boxhaus. In exchange, your second location in any Boxhaus is underwritten on your existing ledger with no capital and no guarantee. We are not renting you a room. We are launching you, and we keep a piece of what we launch.

Clause 4

The publication right

Boxhaus may publish your restaurant's performance, anonymised and aggregated with others, in the Boxhaus Index. Never by name. Never at the unit level. Your ledger is yours, and your identified data is never sold or shared.

What happens when it does not work

Some restaurants close. Here's what happens if it does.

We put this in the same size type as everything else, on purpose. Some restaurants close, and the agreement should be as good on the worst day as on the first.

If you fall behind

Ninety days to cure from the first missed settlement, with the Engine showing you and us the same numbers. During cure, Boxhaus may reduce the plan to Box tier services. No lock out, no seizure, no guarantee to call.

If you decide to stop

You transfer under clause 2. If no buyer meets the standard within a hundred and twenty days, you may surrender the Box. Boxhaus keeps the kitchen package and the equipment interest, you keep your concept, your name and your recipes, and you owe nothing further. The Box is repainted and re let, which is what the building was built to do.

If you outgrow it

You upgrade the plan, move to a Corner Box or a Sky Box as they come open, or take a Box in the next Boxhaus on your own ledger.

What you agree to run
  • Hours. Lunch and dinner, seven days, with a reduced August schedule on request. Late night on level three at weekends. Traffic is the only thing this building manufactures and hours are how it is shared.
  • The food ratio. Fifty one percent of your food and beverage revenue from food, which is Florida law for your licence. The Engine shows you the ratio daily and flags you at 55 percent, ninety days before the State would.
  • The standard. Your dining room is yours to design. The shared systems, the core, the patio hardscape and the envelope are ours to maintain.

What Boxhaus never does

The menu. The recipes. The cook line and every cook on it. Prep. Service. The greeting at the door. Hiring, firing or managing your crew. The playlist, the lighting, the furniture, the art. Pricing your menu. Your brand. You keep everything a diner can see and everything that makes the food yours.

How to sign

ConversationThirty minutes with the head of operator origination. Your concept, your history, your numbers if you have them.
Letter of intentNon binding, one page, names the unit and the plan. Reserves the unit for sixty days.
UnderwritingYour history and, if you have traded before, your point of sale data. No credit report on you personally. No guarantee.
The Proof Box, optionalNinety days trading in the residency unit. Sign a three or five year plan within thirty days of finishing and the Proof Box occupancy is credited against your first month.
The agreementSchedule A and Schedule B, counsel to counsel, two weeks.
Your kitchenSpecified and installed while you finish the dining room.
OpeningAll fourteen doors open the same week in 2029. Before that week, you get one or two friends and family nights of your own: a full room, a real service, and every mistake made where it costs nothing. You open to the public already warm.
The lineThere are fourteen doors and there will be far more than fourteen proprietors who want one. Selection is thorough and it is on the merits: the concept, the history, the numbers, the person. Come ready to compete for your door. The fourteen who win it will be opening beside the strongest independents in South Florida.

You cook. We do the rest.
Fourteen doors on one block. One has your name on it.
