One seat
Landlord, dish pit, cold store, purchaser, dispatcher, payment facilitator. The whole ledger from one seat.
Cheaper to attempt
A visible ledger buys cheaper capital. Cheaper capital makes the attempt survivable. More people who can cook get to sign.
Every turn
More ledgers, more members, a waitlist, a repeated kit. Building two: five to seven million less, a year faster.

10 · The demand engineRestaurant in a box

Eight hundred members with contractual spend to eat here.

The Club

Capped at 800. Initiation, dues, and a food and beverage minimum, forfeited if unused: $1.44M a year that has to land inside the fourteen.

The hall

Boxhaus sells the event. The client must pick one of the fourteen to cook. Every wedding is a booking for a restaurant that did no marketing for it.

Founders

Memberships sold before ground breaks, 300 at $10,000. Benefits, never upside. Not equity, not debt. From customers.

Demand, held outright. Not rented from an app at thirty points.

Why not the best site first
Do not burn your best site on your worst execution. West Palm is cheaper, yields more, sits outside the wind zone, and is the best club market in America.

A plan that needs a retail offering to break ground cancels itself, so the order is flipped: private money and a membership first, the public on a trading building. Bars are equity value at each step, building one and two only.

Four entities. BOX Holding Co is the issuer. Operating Co holds the Engine, Real Estate Co the buildings, Media Co the show. The mortgage secures real property only: no lien on the Engine, no personal guarantee. The exit is a split, not a sale.

By day 180Three letters of intent. 2.36 acres under contract. Lender documents signed. The Engine specified.
Retires: the lender, and the pipeline
One lender, zero proprietors signed today. Both are milestones, not hopes.
ThenFounding memberships offered. Round two priced. Drawings. Ground broken.
Retires: year one coverage
The reserve inside the loan. The Proof Box. Founders who pay before opening.
2029All fourteen doors open the same week. The public offering waits for a trading building.
Retires: the drawing
A building to own a piece of. $81M of equity at stabilisation.

Settled: the building, the brand, the mechanisms, the lender's terms, site one. Assumed, and said so: hard cost, land, sales, the Sky Boxes, the Club. Unknown: the four above, and whether we become an operator by accident. The filter on every new line: does it get more valuable as venue count grows, or only bigger?
